About the Opportunities
The Legal Counsel and Company Secretary’s role to provide advice to the Board and Chief Executive Officer (CEO) about good governance and legal issues. They are responsible for ensuring the quality and timely distribution of Board and Committee agendas and papers, and contributions to policy submissions and advocacy. As Legal Counsel, they provide legal advice to the Board and CEO, including in relation to the good governance of the organisation.
The appointment as Company Secretary will be made by the Board of Directors. On a day- to-day basis this role reports directly to the CEO but provides independent advice to the Board Chair and Board of Directors, as required. As such, this role involves complex interaction between the Board Chair, Board Directors, the CEO and Senior Leadership Team.
This position will include:

Advising the Board, Board Committees, and the CEO on governance matters, working closely with the Board Chair and CEO including through developing, implementing, communicating and maintaining corporate governance compliance policies, processes and procedures.

Ensuring that Members’ and Directors’ meetings are properly called and held (subject to delegation/instruction from the Board) including the completion and signing of formal Minutes.

Ensuring the necessary registers are established and properly maintained, and reports are prepared in accordance with legislative requirements and the principles of good governance.

Advising the Board, Board Committees and the CEO on good practice in corporate/not for profit governance, for example, giving guidance on the legal implications of the way they discharge their duties, follow policies and procedures, run meetings, and make decisions.

At their request, providing or procuring advice for Directors or the CEO regarding the interpretation and application of relevant legislation, the company’s Constitution, and other relevant legal and regulatory requirements ensuring requirements of the Australian Charities and Not-for-profits Commission (ACNC), ASIC, NDIS Quality and Safeguards Commission, and other regulators are met.

Assisting with the development of policy and inquiry submissions, as well as supporting organisational, and joint, policy and advocacy work including as agreed with other community managed organisations.

Selection Criteria
Essential:
- Tertiary qualification in law and holder of a current practicing certificate (or ability to readily regain a practicing certificate).
- 5+ years post qualification experience.
- Experience as a Company Secretary of an Australian Public Company or large regulated Charity, including well-developed knowledge of governance, compliance and Board procedures, including the management of Board and Board Committee records.
Desirable:
- Membership of the Governance Institute of Australia, and recognition as a Chartered Company Secretary.
- Sound understanding of the National Disability Insurance Scheme Act 2013 (Cth)
- Knowledge of legal issues affecting people with a lived experience of a mental health issue.
- Not for profit legal experience.
